This promotion offer is only applicable to a cardholder holding a valid Visa card (“Eligible Visa card”). A cardholder holding a valid Eligible Visa card shall be referred to as the "Cardholder" below. An “Eligible Transaction” occurs when a Cardholder makes a transaction through OpenRice mobile application and uses his/her Eligible Visa card to pay for all relevant fares and fees associated with that transaction. By participating in this promotion offer, the Cardholder acknowledges that he/she/it has read, understood, accepted and agreed to be bound by the following Terms and Conditions. The Promotion Period of the offer runs from 22 July 2025 at 12:00am to 3 November 2025 at 11:59pm, time refers to Hong Kong time (“Promotion Period”).

1. ZA Bank Limited (“ZA Bank”) “OpenRice Visa Click to Pay Promotion” (the “Promotion”) runs from 00:00:00 on 22 July 2025 to 23:59:59 on 3 Nov 2025, both dates inclusive (the “Promotion Period”).
2. Participation in the Promotion constitutes acceptance of these terms and conditions (the “T&Cs”) by the participant (“Participant”).

Eligibility

3. To be eligible for the Promotion, Participants must fulfil the following conditions:
   1. Be at least 18 years old;
   2. Hold a valid ZA Bank account which has passed ZA Bank’s internal review, either at the time of or after the account opening;
   3. If a Participant opens a ZA Bank account during the Promotion Period, he or she can only participate in the Promotion after passing the internal review at the time of or after the account opening; and
   4. The Participant must have successfully registered their ZA Card for the Visa Click to Pay service via the ZA Bank App.

Participation Rules

4. During the Promotion Period, Participants who make “Eligible Transaction” (as defined under Clause 5) via the OpenRice Mobile Application ("OpenRice Platform”) using Click to Pay with their ZA Card, and with a single net spending amount of HKD 80 or more, will be entitled to receive an instant HKD 20 discount (“Discount Rewards”).
5. “Eligible Transaction” refers to the purchase of vouchers or takeaway services on the OpenRice Platform, and is not applicable to book-with-menu and dine-in orders.
6. Discount Rewards are limited and available on first-come, first-served basis while stock lasts. A total of 665 Discount Rewards are available each week (i.e. from Tuesday 00:00:00 to the following Monday 23:59:59) (each a “Promotion Week”) during the Promotion Period, including the first 280 purchase transactions of vouchers and the first 385 takeaway transactions. OpenRice’s system record shall prevail in case of any disputes.
7. ZA Bank and OpenRice may adjust the weekly quota allocation based on usage and availability without further notice.
8. Each Participant can only receive each type of Discount Reward once per Promotion Week during the Promotion Period and cannot participate repeatedly within the same week. The eligibility of the Participants will be based on OpenRice’s system records.
9. The single net spending amount refers to the final price displayed on the actual payment page after deducting all applicable discounts.
10. The Discount Reward may be used in conjunction with OpenRice Platform’s other offers, other discounts will be deducted first, and the actual payment page prevails. This is subject to the Terms and Conditions of OpenRice payment rewards.
11. In the following circumstances, accounts will be treated as operated by the same Participant and only one Discount Reward will be granted per offer type:
    1. Multiple accounts logged in or activated on the same mobile phone or device;
    2. A single account or phone number used across multiple devices.
    OpenRice reserves the right to suspend or permanently disqualify such accounts from receiving the Discount Reward and to take further action to prevent misuse or fraud involving accounts, mobile phone numbers, devices, or bank cards.
12. In case of any breach of these T&Cs, or any illegal, fraudulent, abusive, or unfair behavior affecting other users’ participation, OpenRice reserves the right to forfeit the Discount Reward and cancel any related transactions without prior notice.
13. The Discount Reward is non-exchangeable, non-transferable, and cannot be redeemed for cash or other items. In the event of a return or refund, the value of the Discount Reward will not be refunded or reissued.
14. OpenRice and ZA Bank will conduct the Promotion in accordance with applicable laws. If the Promotion is disrupted due to force majeure events (such as government orders, cyberattacks, system failures, or other circumstances beyond the control of OpenRice or ZA Bank), OpenRice and ZA Bank shall not be liable for any resulting damages, losses, or disputes.
15. OpenRice and ZA Bank reserve the right to change, suspend, or cancel the Promotion or amend the T&Cs without prior notice and without assigning any reasons whatsoever. They are not liable for any such changes and reserve the right of final decision on all matters and disputes.

17. In the event of any illegal, fraudulent or abnormal transacting behaviour by a Participant during the participation of this Promotion and redemption of the Discount Reward, ZA Bank shall cancel such Participant's Discount Reward earned and/or entitlement to the Discount Reward and reserve the right to take any necessary legal action. The abnormal transaction behaviour includes but is not limited to the act of frequent refunds or cancellations of transactions. If ZA Bank suspects abnormal transactions, ZA Bank reserves the full discretion to make a decision without any responsibility to the Participant, and without giving any reason or notice.

General Terms

18. All Discount Rewards cannot be transferred, returned, exchanged or converted into another form unless otherwise specified.
19. In case of any ambiguities, doubts or disputes arising out of or under any of these T&Cs or any communications, the decision of ZA Bank is final and conclusive in all circumstances without assigning any reasons whatsoever, and no correspondence will be entered into.
20. ZA Bank reserves the right to disqualify any Participant who violates these T&Cs, tampered with the Promotion, abused, rigged or fraudulently engaged in any conduct relating to the Promotion, made any false declaration or representation or violated any applicable laws or regulations and may subsequently withdraw the offer and recover any losses.
21. The Promotion cannot be rewarded/used in conjunction with other special promotions, discounts, or promotional coupons provided by ZA Bank.
22. If a Participant has any enquiries about the Promotion or its rewards, please contact ZA Bank at 3665 3665.
23. No one other than the Participant and ZA Bank (including its successors and assigns) will have any right under the Contracts (Rights of Third Parties) Ordinance to enforce or enjoy the benefit of any of the provisions of these T&Cs.
24. These T&Cs are governed in all respects by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties submit to the jurisdiction of the courts of the Hong Kong Special Administrative Region.
25. These T&Cs should be read in conjunction with the General Account Terms and Conditions. If there are any inconsistencies between the General Account Terms and Conditions and the terms herein, the General Account Terms and Conditions shall prevail.
26. If there are any discrepancies or inconsistencies between the English and Chinese versions of these T&Cs, the English version shall prevail.
27. All times mentioned in these T&Cs are based on Hong Kong Time (GMT+8).
